Welcome to Pinlabs! The terms “we”, “us” and “our” refer to Pinlabs. Pinlabs operates this store and website, including all associated information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the “Services”). Pinlabs is powered by Shopify, which enables us to provide the Services to you.

The following terms and conditions, together with any policies referenced herein (these “Terms and Conditions” or “Terms”), describe your rights and responsibilities when using the Services.

Please read these Terms and Conditions carefully, as they contain important information about your legal rights and cover matters such as disclaimers of warranties and limitations of liability.

When you place an order, you are making an offer to purchase. Pinlabs reserves the right, at its sole discretion, to accept or reject your order for any reason. Your order is not accepted until Pinlabs confirms its acceptance. We must receive and process your payment before your order can be accepted. Please review your order carefully before submitting it, as Pinlabs may not be able to accommodate cancellation requests once an order has been accepted. If we do not accept, modify or cancel an order, we will attempt to notify you using the email address, billing address and/or telephone number provided at the time the order was placed.

Returns or exchanges of your purchases are governed exclusively by the provisions of our Cancellation Policy [LINK].

You represent and warrant that your purchases are intended for your personal or household use and not for commercial resale or export.

SECTION 4 – PRICES AND BILLING

Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time your order is placed and will be stated in your order confirmation email. Unless expressly stated otherwise, the prices shown do not include taxes, shipping costs, handling fees, customs duties or import charges.

Prices displayed in our online stores may differ from prices available in our physical stores or in online stores and other shops operated by third parties. We may from time to time offer promotions in connection with our Services that may affect pricing and may be subject to separate terms and conditions. In the event of any conflict between the terms of a promotion and these Terms, the terms of the promotion shall prevail.

You agree to provide current, complete and accurate purchase, payment and account information for all purchases made through our stores. You agree to promptly update your account information and other details, including your email address and credit card numbers and expiry dates, so that we can complete your transactions and contact you where necessary.

You represent and warrant that: (i) the credit card information you provide is true, accurate and complete; (ii) you are duly authorised to use the credit card for the purchase; (iii) the charges incurred by you will be honoured by your credit card provider; and (iv) you will pay the charges incurred by you at the stated prices, including shipping and handling charges and any applicable taxes.

SECTION 5 – SHIPPING AND DELIVERY

We are not liable for delays in shipping or delivery. All delivery times are estimates only and are not guaranteed. We accept no responsibility for delays caused by shipping carriers, customs clearance or events beyond our control. Once we have handed the goods over to the shipping carrier, title to the goods and the risk of loss pass to you.

Without our prior written consent, you may not reproduce, distribute, modify, publicly display, publicly perform, republish, download, store, transmit or create derivative works from any materials available through the Services. Unless expressly stated otherwise herein, nothing in these Terms grants, or may be construed as granting, you any licence or other right under any patent, trademark, copyright or other intellectual property right belonging to Pinlabs, Shopify or any third party. Unauthorised use of the Services may constitute a violation of federal and state intellectual property laws. All rights not expressly granted herein are reserved by Pinlabs.

The Pinlabs name, logos, product and service names, designs and slogans are trademarks of Pinlabs or its affiliates or licensors. You may not use these trademarks without the prior written permission of Pinlabs. The Shopify name, logo, product and service names, designs and slogans are trademarks of Shopify. All other names, logos, product and service names, designs and slogans appearing in the Services are trademarks of their respective owners.

SECTION 7 – OPTIONAL TOOLS

As part of the Services, you may be provided with access to customer tools offered by third parties. We do not monitor these tools and have no control over or involvement with them.

You acknowledge and agree that we provide access to such tools on an “as is” and “as available” basis, without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of optional tools offered through the website is entirely at your own risk and discretion. You should ensure that you are familiar with and agree to the terms on which the relevant third-party tools are provided.

We may also offer new features through the Services in the future, including the release of new tools and resources. Such new features shall also be deemed part of the Services and shall be subject to these Terms and Conditions.

Pinlabs is powered by Shopify, which enables us to provide the Services to you. However, all sales and purchases made through our store are conducted directly with Pinlabs. By using the Services, you acknowledge that Shopify is not responsible for any aspect of any sale between you and Pinlabs, including any injury, damage or loss resulting from the purchase of products or services. You hereby expressly release Shopify and its affiliates from all claims, damages and liabilities arising out of or relating to your purchases and transactions with Pinlabs.

SECTION 10 – PRIVACY POLICY

All personal data that we collect through the Services is subject to our Privacy Policy, which is available on this website, and certain personal data may also be subject to Shopify’s Privacy Policy, which is available here. By using the Services, you acknowledge that you have read these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal data relating to your access to and use of the Services in order to provide and improve the Services. Data submitted by you through the Services will be transmitted and disclosed to Shopify and to third parties that may be located in a country other than your country of residence, so that services can be provided to you. In addition, you agree not to: (a) upload or transmit viruses or any other type of malicious code that may be used in any way that affects the functionality or operation of the Services; (b) reproduce, duplicate, copy, extract, sell, resell or otherwise exploit any portion of the Services; (c) collect or track the personal data of others; (d) misuse the Services for spam, phishing, pharming or pretexting; (e) use robots, spiders, scraping tools, data collection and extraction tools, automated devices or processes, AI tools, such as agentic AI, or automated or manual means to access the Services; or (f) interfere with, circumvent or manipulate any security or authorisation features, robot exclusion headers or other measures used by us to restrict access to the Services. We reserve the right to suspend, disable or terminate your account at any time and without prior notice if we determine that you have violated any part of these Terms.

We may terminate this agreement or your access to the Services, or any part thereof, at any time and without prior notice, at our sole discretion. You will remain liable for all amounts due up to and including the date of termination.

The following sections shall survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy and any other provisions that, by their nature, should survive termination.

You agree to indemnify, defend and hold harmless Pinlabs, Shopify and our affiliates, partners, officers, directors, employees, representatives, contractors, licensors and service providers from and against all losses, damages, liabilities or claims, including reasonable legal fees, payable to any third party arising out of or relating to: (1) your breach of these Terms and Conditions or any documents incorporated herein by reference; (2) your violation of any applicable law or the rights of any third party; or (3) your access to and use of the Services.

We will notify you of any claim subject to indemnification, provided that any delay in notification will not relieve you of your obligations unless you are materially prejudiced by such delay. We may control the defence and settlement of any such claim at your expense, including the appointment of legal counsel, but we will not settle any claim that requires you to assume non-monetary obligations without your consent, which shall not be unreasonably withheld. You shall cooperate in the defence of any indemnified claim, including by providing relevant documents.
